Section 3 of 11Aviation leasing

Why aviation leasing?

Aircraft are expensive and airline margins are thin — few airlines can afford to pay for their fleet in cash.

Leasing Finance is a financial institution that buys and leases assets under financial and operating leases, and has specialised in aviation leasing for the last ten years.

The most popular commercial aircraft allocation schemes are asset-backed finance and operating leases. Finance leasing is used by many large, financially stable airlines that are prepared both to take on the aircraft’s residual-value risk and to manage it.

  • High asset cost

Low profit margins mean few airlines can buy their fleet outright.

  • Operating leases

With asset-backed finance, the most popular way to allocate commercial aircraft.

  • Finance leases

Chosen by large, financially stable airlines ready to take on — and manage — residual-value risk.

Section 6 of 11Growth through acquisitions

Group companies

Leasing Finance has oriented its business primarily towards aviation leasing — aircraft form the majority of its portfolio. To develop and expand its position in the aviation market, the company has also acquired aviation-related companies.

100% owned

Fly Lease EOOD

Acquired: 23.02.2022

Object of activity

Air transport; operation of own and leased aircraft and helicopters; aircraft repair, maintenance and trade; training of pilots and technical staff; aircraft leasing.

On 23 February 2022 Leasing Finance EAD acquired all shares in the capital of Fly Lease EOOD.

Over time the company has concluded agreements with foreign leasing companies for the acquisition of a total of eight aircraft. The first, in 2020, was a tripartite agreement with GECAS Trading Ireland Limited for an Airbus aircraft, provided to Bulgaria Air AD under a finance lease. In 2024 three further tripartite agreements with ALC Clover Ireland Limited added Airbus A220 aircraft — LZ‑AMS, LZ‑ROM and LZ‑LIS — together with a spare engine, provided to Bulgaria Air AD under operating leases. In 2025 an A220‑300, LZ‑FRA, followed on the same terms.

Since its acquisition by Leasing Finance EAD, Fly Lease EOOD has continued to expand through long-term agreements with international aircraft lessors; the aircraft are subleased to Bulgaria Air AD.

Sold in 2023

Aircraft Lease EOOD

Acquired: 25.11.2021

Object of activity

Air transport; operation, repair and trade of aircraft and spare parts; training of pilots and technical staff; supply of aviation fuels and lubricants.

On 25 November 2021 Leasing Finance EAD became the sole owner of the capital of Aircraft Lease EOOD, acquiring the shares from Bul Air EOOD.

The company was further developed and sold in 2023, with a positive financial outcome for Leasing Finance EAD.

Portfolio services

The active lease portfolio includes finance lease agreements with an active repayment schedule. It is diversified both by number of clients and their exposure and by the economic sector in which the lessees operate. The company serves mainly companies — contracts with individuals are insignificant in number.

Operating leasing is on a sustained growth trend, with its best performance since the start of the activity. Revenue from operating leases comes from two main sources: rental of cars and rental of aircraft.
